General Terms and Conditions (GTC)
SIACSKIN Medical GmbH – Online Shop siacskin.de
§ 1 Scope and Provider
(1) These General Terms and Conditions (GTC) apply to all orders placed by customers via the online shop of SIACSKIN Medical GmbH, represented by its managing director Sina Sieckmann, Dreischeibenhaus 1, 40211 Düsseldorf, Germany, registered in the commercial register of the Local Court (Amtsgericht) of Düsseldorf under HRB 110332 (hereinafter the “Provider” or “we”).
(2) A consumer within the meaning of these GTC is any natural person who concludes a legal transaction for purposes that can predominantly be attributed neither to their commercial nor to their self-employed professional activity (§ 13 BGB (Bürgerliches Gesetzbuch / German Civil Code)). An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or self-employed professional activity (§ 14 BGB).
(3) Deviating terms and conditions of the customer shall not apply unless we expressly agree to their validity in writing.
§ 2 Contracting Party, Conclusion of Contract and Correction Options
(1) The purchase contract is concluded with SIACSKIN Medical GmbH, Dreischeibenhaus 1, 40211 Düsseldorf, registered in the commercial register of the Local Court (Amtsgericht) of Düsseldorf under HRB 110332.
(2) The presentation of the products in the online shop does not constitute a legally binding offer, but an invitation to place an order. By clicking the order button at the end of the ordering process, you submit a binding offer to purchase the goods contained in the shopping cart. We confirm receipt of your order by automated email immediately after it has been submitted. This confirmation of receipt does not yet constitute acceptance of your offer.
(3) The purchase contract is only concluded when we accept your order by a declaration of acceptance by email or by delivering the goods.
(4) Before submitting your order, you can review your details at any time and change them using the correction functions provided in the ordering process.
(5) We store the text of the contract. You will receive the order data with the confirmation email. You can access, print and save these GTC on this page at any time.
(6) The contract can be concluded in the languages offered in the online shop. Translations of these GTC are provided for information purposes; in the event of discrepancies, the German version shall prevail.
§ 3 Prices and Payment Terms
(1) Unless otherwise stated, the product prices shown in the online shop are net prices in euros (€) plus statutory VAT. The total price including VAT is displayed to you in the ordering process before you place your order.
(2) Shipping costs may also apply; these are stated in the respective product description and shown in the ordering process before the order is placed.
(3) We offer the following payment methods:
- Advance payment by bank transfer
- PayPal
- Credit card (Visa, Mastercard)
- Sofortüberweisung (instant bank transfer)
(4) If you select advance payment as the payment method, we will provide our bank details in the order confirmation. The invoice amount must be transferred to our account within 7 days.
§ 4 Delivery and Shipping Conditions
(1) Delivery is made to the delivery address you specify.
(2) Our devices are generally delivered free of charge by freight forwarder. We ship smaller items via DHL or Hermes.
(3) Delivery times are 2–5 working days for products that can be shipped as parcels and 7–14 working days for freight goods, unless otherwise stated in the product description.
(4) Partial deliveries are permitted insofar as they are reasonable for you.
(5) Deliveries abroad are only made by prior arrangement and individual agreement.
§ 5 Retention of Title
The goods remain our property until full payment has been made.
§ 6 Liability for Defects (Warranty) and Liability
(1) The statutory rights relating to liability for defects apply unless otherwise provided below.
(2) Towards entrepreneurs, the limitation period for claims for defects in used goods is twelve months from delivery of the goods. Towards consumers, the statutory limitation periods apply. The reduction pursuant to sentence 1 does not apply to claims for damages under paragraph 5, nor in cases of intent, fraudulent concealment of a defect or to the extent that a guarantee has been assumed.
(3) The following additionally applies to entrepreneurs:
- The goods must be inspected for defects without undue delay after receipt. Obvious defects must be notified to us within 7 days of delivery.
- Hidden defects must be notified within 7 days of their discovery.
- If timely notification is not made, claims for defects are excluded unless we have fraudulently concealed the defect. The duty to inspect and give notice of defects under § 377 HGB (Handelsgesetzbuch / German Commercial Code) remains unaffected.
(4) We are not liable for damage caused by improper use, operating errors or unauthorised repair attempts by the customer, insofar as we are not responsible for such damage.
(5) We are liable without limitation for intent and gross negligence, for culpable injury to life, body or health, for fraudulent concealment of a defect, to the extent that a guarantee has been assumed, and under the Produkthaftungsgesetz (German Product Liability Act). In the event of a slightly negligent breach of an essential contractual obligation (cardinal obligation), our liability is limited to the damage that was foreseeable and typical for the contract at the time the contract was concluded. Cardinal obligations are obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely. Otherwise, our liability for slight negligence is excluded.
(6) Insofar as our liability is excluded or limited, this also applies to the personal liability of our legal representatives, employees and vicarious agents.
§ 7 Right of Withdrawal
(1) Consumers have a statutory right of withdrawal in accordance with our cancellation policy. Entrepreneurs do not have a statutory right of withdrawal.
(2) Pursuant to § 312g (2) no. 1 BGB, the right of withdrawal does not apply to contracts for the supply of goods that are not prefabricated and for whose production an individual selection or determination by the consumer is decisive, or which are clearly tailored to the personal needs of the consumer.
§ 8 Training, Commissioning and Additional Services
(1) If included in the purchase contract or booked separately, we provide training and commissioning.
(2) These services are provided by individual appointment.
(3) If the customer fails to attend an agreed appointment or cancels it less than 48 hours in advance, we may invoice the expenses demonstrably incurred by us as a result (e.g. travel and personnel costs). The customer remains entitled to prove that we incurred no expenses or substantially lower expenses.
§ 9 Data Protection
(1) Personal data is processed in accordance with our privacy policy, which can be accessed in the shop at any time.
(2) Your data will only be passed on to third parties within the framework of the statutory provisions, in particular insofar as this is necessary for performance of the contract (e.g. to shipping and payment service providers). Details can be found in the privacy policy.
§ 10 Applicable Law and Place of Jurisdiction
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which the consumer has their habitual residence.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from this contract is our registered office in Düsseldorf.
(3) For consumers, the statutory place of jurisdiction applies.
§ 11 Severability Clause
Should individual provisions of these GTC be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
